We are partnered with a Top 20 accountancy practice to recruit a highly skilled and experienced Company Secretary, Senior Manager to lead their corporate governance and compliance functions.

This pivotal role ensures adherence to legal, regulatory, and corporate governance standards across all operational entities. The successful candidate will serve as a strategic advisor to the board and executive leadership, overseeing statutory compliance, board governance, corporate secretarial processes and regulatory reporting.  

The ideal candidate combines business development, networking and technical skills with strong leadership, driving continuous improvement in governance frameworks and supporting the company’s long-term strategic goals. This high-impact position demands precision, discretion and a proactive mindset in a fast-paced, regulated environment.

Responsibilities:

  • Lead all corporate secretarial functions, including board and committee meeting management, minute-taking and statutory record-keeping in compliance with the Companies Act 2006 and relevant regulations.
  • Ensure timely and accurate filing of annual returns, statutory returns and regulatory submissions with Companies House, HMRC and other authorities.
  • Provide expert guidance on corporate governance best practices, regulatory compliance, and legal requirements to the board and senior leadership.
  • Prepare and coordinate board and committee agendas, papers, and supporting documentation, ensuring completeness, accuracy and timely distribution.
  • Maintain and manage the corporate register, including share capital, directors, secretaries, and significant controllers, ensuring data accuracy and compliance.
  • Collaborate with external auditors, tax advisors, and legal counsel to support audit, tax and compliance activities.
  • Oversee the development, implementation and maintenance of governance policies, procedures and internal controls.
  • Serve as the primary liaison with regulatory bodies, ensuring compliance with financial reporting, disclosure and governance obligations.
  • Support the annual audit process by providing documentation, coordinating with auditors and ensuring readiness for internal and external reviews.
  • Leverage advanced proficiency in Microsoft Office (Word, Excel) and IBM Certified System Administrator skills to manage digital governance systems and automate workflows.
  • Mentor and supervise junior compliance and secretarial staff, promoting a culture of accuracy, professionalism and continuous improvement.
  • Contribute to strategic initiatives including organizational restructuring, mergers and acquisitions (M&A) and responses to regulatory changes affecting governance.

  • Bachelor’s degree in Accounting, Law, Business, or a related field; professional qualification such as ACMA/FCMA, CIMA, or ICSA is highly desirable.
  • Minimum of 10 years of progressive experience in corporate secretarial, governance, or compliance roles within a regulated financial or accounting environment.
  • Proven expertise in company law, corporate governance, statutory compliance and regulatory reporting (including Companies House, FCA, and HMRC requirements).
  • Strong working knowledge of audit processes, tax compliance and financial reporting standards.
  • Proficient in Microsoft Windows, Microsoft Word, and Microsoft Excel with advanced data management and reporting capabilities.
  • IBM Certified System Administrator certification with hands-on experience in system administration, security and data integrity.
  • Excellent organizational, communication, and interpersonal skills with the ability to manage multiple priorities under pressure.
  • High level of discretion, integrity and attention to detail.
  • Ability to work independently and collaboratively within cross-functional teams.
  • Experience leading governance projects, implementing compliance systems and supporting board-level decision-making.
  • Familiarity with digital governance platforms and document management systems.
