The position will work closely with Sales, Legal, Compliance, and business colleagues and will report directly to the Senior Managing Counsel for PBM Legal Transactions.</p><p></p><p>The position requires an ability to negotiate and draft contract terms across a wide area of contracts, ensure that contracts meet <span>compliance/governance</span> requirements and work with clients at all levels on a daily basis. Candidates must have knowledge and expertise in contract drafting, compliance, risk evaluation and management of vendor relationships, including pre-litigation disputes.</p><p></p><p>The role will involve the following:</p><ul><li><b><i><span>Contract Drafting and Negotiations:</span></i></b> Experience in drafting and negotiating contract terms, templates and guidelines for contracting, including standard alternative clauses for a wide range of commodities</li><li><b><i><span>International Contracting: </span></i></b>Working with global internal legal colleagues and vendors on contracting and related issues</li><li><b><i><span>Risk Management and Compliance</span></i></b>: Identification, evaluation and reporting on potential risk in connection with commercial contracting and disputes; meeting with senior legal, corporate and client management concerning key risk issues</li><li><b><i><span>Training, Education and Presentations</span></i></b>: Ability to develop and provide training to all levels of the organization; strong presentation skills, including the ability to present to senior management</li></ul><p><b><span>Responsibilities</span></b>:</p><ul><li>Negotiate various types of services, licensing and technology transactions with domestic and international clients with a focus on limiting Evernorth</li><li>s liability, protecting Evernorth’s confidentiality and intellectual property rights and protecting customers’ privacy interests.</li><li>Negotiate resolutions to disputed, pre-litigation issues consistent with Cigna’s objectives.</li><li>Provide and manage contract template language and accompanying training materials for use by Evernorth contracting staff.</li><li>Effectively matrix with senior-level attorneys and critical business partners, including Compliance, Privacy, Information Technology, operations and Corporate/Business Development</li><li>Manage outside counsel on discrete matters as may be required</li><li>Work with Legal, Compliance and business clients in developing, implementing, and coordinating contracting and governance strategies</li><li>Proactively identify contracting risks for business partners</li></ul><p><b><span>Qualifications</span></b>:</p><ul><li>Juris Doctor required and active bar membership in at least one U.S. jurisdiction</li><li><b><span>3+ years of commercial contracting experience in positions of increasing responsibility, with at least a portion of practice focused on the negotiating and drafting of vendor transactions. </span></b></li><li>Strong drafting and negotiation skills</li><li>Strong preference for familiarity with healthcare, insurance, benefits and/or pharmacy</li><li>Experience supporting Freedom of Information Act and/or Public Information Act reviews is a plus.</li><li>Ability to understand complex transactions, including intellectual property, <span>international/multinational,</span> and privacy issues.</li><li>Strong interpersonal skills and the ability to communicate and collaborate effectively with clients and internal business partners, both verbally and in writing.</li><li>Must produce top-quality work product, have a strong work ethic and have the ability to work quickly and efficiently.</li><li>Must be able to manage competing priorities and to meet demanding deadlines in a fast-paced environment.</li><li>Ability to identify business and legal issues and propose actionable legal and business solutions.</li><li>Demonstrate good judgment and attention to detail.</li><li>Ability and desire to learn new subject areas and willingness take on new responsibilities.</li><li>Role can be Hybrid or Remote.</li></ul><div><p></p></div><p style="text-align:inherit"></p><p style="text-align:inherit"></p>If you will be working at home occasionally or permanently, the internet connection must be obtained through a cable broadband or fiber optic internet service provider with speeds of at least 10Mbps download/5Mbps upload.<p style="text-align:inherit"></p><p style="text-align:inherit"></p>For this position, we anticipate offering an annual salary of 132,700 - 221,100 USD / yearly, depending on relevant factors, including experience and geographic location.<p></p><p>This role is also anticipated to be eligible to participate in an annual bonus plan.</p><p></p><p>At The Cigna Group, you’ll enjoy a comprehensive range of benefits, with a focus on supporting your whole health.
