About the Role

Corporate Paralegal

We are recruiting for an experienced Corporate Paralegal to support the Business and Finance practice of a respected Cleveland law firm. This role works closely with attorneys on business formations, corporate governance, financing matters, and complex transactions.

Responsibilities:

  • Draft and revise entity formation, governance, loan, and transactional documents
  • Assist with business formations, including corporations and limited liability companies
  • Coordinate due diligence, electronic data rooms, closing checklists, and transaction timelines
  • Prepare closing binders, signature packets, stock certificates, deeds, and corporate minute books
  • Manage DocuSign processes and compile executed signature pages
  • File documents with state and county offices, FINRA, the SEC, and other government agencies
  • Review contracts, letters of intent, loan commitments, UCC filings, and related legal documents
  • Conduct lien searches, litigation reports, and factual legal research
  • Maintain capitalization tables, ownership ledgers, corporate records, and CARTA files
  • Communicate with attorneys, clients, outside counsel, filing agents, and internal support teams
  • Track deadlines, organize files, process invoices, and maintain accurate time entries

Qualifications:

  • Corporate, business, finance, or transactional paralegal experience
  • ABA-approved paralegal degree or certificate, or an equivalent combination of education and experience
  • Experience with corporate filings, transaction closings, and large-scale document management systems
  • Proficiency with Microsoft Office, Adobe Acrobat, DocuSign, and electronic data rooms
  • Familiarity with Westlaw, LexisNexis, PACER, iManage, and Secretary of State websites preferred
  • CARTA experience strongly preferred
  • Strong writing, organization, communication, and attention to detail
  • Ability to protect confidential client information and manage multiple deadlines
  • Notary Public designation is a plus

Compensation and Benefits:

  • $35.00 to $50.00 per hour, based on experience, education, and skills
