About the Role
Project description: Merger & Acquisition Department is planning Business Transformation Projects. The project is a Carve-Out. (Details on the project can only be provided after signing an NDA, but before the start of the assignment).
Execution of the IT related M&A projects (on buyer or vendor side) based on information and project requirements provided by Uniper in advance and own knowledge and experience. This includes:
Implementation of an IT due diligence study (IT and vendor) and a prestudy project documentation of the results (IT-Landscape, IT Services, Licences, Migration of data, timeline
Development of separation concepts (logical, physical and rebranding) and technical documentation of IT Services (IT transitional services)
Preparation and presentation (online meeting) of the results to the customer / buyer
Coordination of project related technical requirements in the IT M&A projects (including external advisors) between internal and external stakeholders (supplier and customers) with the aim of defining deliverables and frame conditions (Grace periods of example in case of licences)
Technical consultation of the M&A Program Lead, other M&A IT projects, Uniper IT teams and the business units regarding scope and results of the Due Diligence, Pre-Study and Migration projects (Rebranding, Transition) and Transitional Services
Implementation of a defined Corporate IT M&A standard technology, processes and methodology in the project – existing Carve Out Concept in Place
Preparation of technical documentation that serves as basis for top management decisions regarding IT infrastructure and landscape changes – existing templates of M&A IT Team
Professional consultation regarding the negotiation phase for the legal organization for all IT topics (due diligence (IT and vendor), transitional services (TSA) and transition project information
Monitoring of the project timelines, budgets and technical quality (Uniper standards), documentation of the findings and presentation (bi-weekly online meeting) towards Uniper M&A IT Program Lead
Creation of a monthly risk status report including the documentation of deviations from the project plan and the proposal of technical mitigation measures for Uniper with the aim of reaching the targets in the project
Anforderungen
Understanding of M&A targets as an input for the IT project targets
Strong project management capabilities in agile or waterfall methodology (Reporting, Risk-, Quality-, Time-, Cost-, Stakeholder management,Reporting, Audit secured documentation0
Excellent analytical skills, structured working methods and safe handling of integration topics, including detailed planning tasks and problem-solving skills
Good understanding / technical knowledge of critical integration / Carve Out topics, focused on - Infrastructure - Assets, Commercials, Licenses and Contracts (SLA) - Processes, security, GDPR and compliance - Business Strategy / approach for IT Infrastructure and Applications - ERP (SAP) separation and migration project requirements;
Experience in managing projects, preparing complex analyses and working in global cross functional teams
Understanding dependencies to Commercials (SLAs) and Compliance (data security, GDPR, licenses and contracts)
Understanding of M&A processes and tasks. At least 3-5 years of professional experience in leading functions in the M&A IT environment (references).
