About the Role

Job Description: Proxy Voting Subject Matter Expert (SME)

Role Overview

We are seeking a Proxy Voting Subject Matter Expert (SME) with strong end‑to‑end experience across the proxy voting lifecycle. The role will support high‑volume proxy voting activity, ensuring accurate vote execution, reconciliation, governance compliance, and effective use of proxy advisory and custody relationships. The successful candidate will bring strong analytical capability, operational rigour, and deep familiarity with proxy advisors such as Glass Lewis.

Key Responsibilities

Proxy Voting Operations

  • Manage the full proxy voting lifecycle, including vote receipt, analysis, instruction, and submission

  • Oversee vote reconciliation and confirmation, both pre‑ and post‑meeting

  • Manage vote cut‑offs, market deadlines, exceptions, and late‑breaking agenda changes

  • Support proxy voting activity during high‑volume proxy seasons

Data Analysis & Oversight

  • Review and analyse historical voting data to identify trends, discrepancies, or missed votes

  • Conduct information analysis on proxy voting datasets, including root‑cause assessments for voting exceptions

  • Ensure voting data is accurate, complete, and aligned across internal systems, proxy advisors, and custodians

Vendor & Custodian Engagement

  • Demonstrate a strong understanding of how proxy voting accounts are set up and maintained internally, with Glass Lewis, and with custodians

  • Act as a key point of contact with Glass Lewis, including requesting and reviewing voting reports and data extracts

  • Liaise with custodians to ensure vote transmission, confirmation, and record accuracy

Governance, Policy & Controls

  • Apply firm proxy voting policies to live voting situations, including complex or contentious agendas

  • Handle votes requiring case‑by‑case judgement, escalation, or exception handling

  • Document voting rationale clearly and maintain robust audit trails and record‑keeping

  • Use, oversee, and enhance proxy voting controls, procedures, and governance frameworks

Required Experience & Skills

  • Proven experience in proxy voting operations within asset management, investment management, custody, or related financial services

  • Strong familiarity with Glass Lewis (or similar proxy advisors) and proxy voting data/reporting

  • Demonstrated expertise across the end‑to‑end proxy voting process

  • Strong analytical skills with the ability to interpret voting data and identify issues or trends

  • Excellent attention to detail and understanding of regulatory and audit requirements

  • Ability to operate effectively during peak proxy seasons and manage competing deadlines

  • Strong stakeholder management skills across internal teams, vendors, and external partners

Desirable Experience

  • Experience working with global proxy markets and differing regional voting requirements

  • Knowledge of ESG, governance frameworks, or stewardship reporting

  • Experience supporting regulatory reviews, audits, or client due diligence related to proxy voting
